Terms of Service

Effective June 12, 2026

These terms govern use of the Roa service, provided by Roa Systems, Inc. (“Roa,” “we,” “us”). By using Roa, you agree to them.

The service

Roa is a team performance-management platform for setting and tracking goals, objectives, and key results. Roa is currently in early access: features may change, and access is granted at our discretion as we onboard teams gradually.

Accounts

You are responsible for your account credentials and for activity under your account. Accounts are provisioned through your organization’s workspace; your organization’s administrators control membership and roles within it.

Your data

Your organization owns the data it and its users put into Roa. We process that data only to provide the service, as described in our Privacy Policy. We claim no ownership of your content.

Acceptable use

You agree not to misuse the service — including attempting to access another organization’s workspace or data, probing or disrupting the service’s security, reselling the service without our agreement, or using it in violation of applicable law.

Early access; disclaimer

During early access the service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted or error-free.

Limitation of liability

To the fullest extent permitted by law, Roa will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, or data, arising from your use of the service. Our total liability for any claim relating to the service is limited to the amount you paid us for the service in the twelve months before the claim arose.

Termination

You may stop using the service at any time. We may suspend or end access to the service for breach of these terms or where we reasonably believe it is necessary to protect the service or its users. Upon termination, we will make customer data available for export for a reasonable period.

Changes to these terms

We may update these terms as the service evolves. If we make material changes, we will update the effective date above and, where appropriate, notify our customers. Continued use of the service after changes take effect constitutes acceptance.

Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules.
